I worked in M&A (Lazard) and I found it overly painful to learn how to present analysis, what I even needed to cover! I would trawl through old presentations on the drive to draw upon, but it was a nightmare.

I’m older now and I still need to make technical presentations. Seeing how it was done before saves sooo much time!

How I made this collection

I figured out a loophole. Under certain transactions, banks have to file information with the SEC to protect minority shareholders.

  • I blew weeks figuring out how to extract decks from the SEC
  • I then trained and paid someone to manually collate the info over weeks
  • I manually cleaned the data set as best I could
  • I paid a Twitter engineer to add metadata such as industry filters

Hey Brandon- don’t follow. Everything free is on the blogs that I say is. You just click to see by category and bank etc. You can see it all. Btw, everyone who has bought a paid banking resource to date is either an MD at a bank or a finance prof at a uni. Go to your HR person who does training and ask to buy. It’s so f’n cheap compared to the bs courses they sent us on. Best, ADJ

Do some of the presentations included in the premium collection cover IPOs, rights issues, sell-side and other capital raising transactions?

Hey- there are limits to what kinds of topics are covered and available because they’re only shared under an SEC rule. Otherwise bankers absolutely wouldn’t make them available, duh! I forget (the nerdy SEC details) but I think it’s mainly to do with take private transactions. So there is a wealth of info to learn from, but it’s not going to cover all kinds of deals because those deals don’t have to be made public.

When you buy, do you get the decks in PDF format? These free ones are online-only images.

Hi Michael – This information all comes from SEC filings as is deemed public info. I show the material for educational purposes but selling material is potentially not ok so I won’t go there. Hi, do you have anything on biotech private placements, collaborations/licensing agreements, IPOs, and SPACs by chance?

Hi Millicent – I pulled everything back to 2001. These are only available due to a loophole I found and material not normally ever shared publicly. IPOs and SPACs are public deals so you can find some roadshow decks and the first presentations they use. I started to make a little collection on this but haven’t put time into it yet. Private placements, agreements are not going to be shared publicly. You only see them if a ‘friend’ shares them with you or you work in the industry. I put in the time to try share resources when I can because It’s so hard to see examples.

If one purchases one of your packages, I understand that you provide SEC links to these presentations.

I am solely interested in Mergers & Acquisitions actual deal presentations.

I am not interested in bank pitches, pure-fairness opinions, nor any other type of presentations, and I wouldn’t have the time to review each individual presentation from the full database ( 2000 pres.) to determine if its the type of presentation I need.

I’ve added all the columns I can reasonably add. I provide SEC links for legal reasons.

I’m just shipping an update with 5 new columns with SIC codes/industry cats (it was a lot of effort to make!).

Every line is categorised by presentation/fairness opinion etc. The ‘title’ gives some idea of what it is but mainly “discussion material” or “pres to BoD”. Don’t know how to better categorise each item and unless charged a lot more I’m not going to write a manual description for each. I would like to do OCR to categorise each slide, but then I would have copywrite issues (I theorise).

All the material is available due to a rule on ‘take private’ transactions (to protect minority investors). The material has the usual M&A val’n etc stuff in it, but as part of a take-private process. Most are proper decks and only a few have bank pitches in them.

Material however you might define M&A otherwise doesn’t exist publicly so this is all there is online.

I have downloaded the USD50 basic free investment banking presentations. I think it would be really helpful to also do pricing pacakges based on industry / sector? E.g. I am only interested in tech investment banking, hence pure tech-related pitches / decks would be super useful for me.

In investment banking, a pitch book is a marketing presentation intended to convince an existing or potential client to retain their firm for a deal. Pitch books typically contain sections on the merits of the transaction, an analysis of potential buyers or sellers, pricing and valuation information, and key risks to mitigate.

A well-tailored pitch book is a secret to bagging multi-million-dollar deals. Investment banking analysts and associates spend a significant amount of time working on pitch books, and any career in investment banking requires the ability to create pitch books and use them to pitch to prospective investors.

  • Considerations – Includes charts and tables exhibiting effects on EPS and any other potential problems. It’s important to read the footnotes in this section as potential problems are normally referred to as “execution” or “management”.
  • Appendix –This is a very important section as it includes models with a variety of scenarios.

How to Create a Pitch Book in Investment Banking

Creating an investment banking pitch book can be daunting. It requires careful preparation and attention to detail. Usually, the majority of the pages (especially in the Credentials and Market Update sections) can be lifted from an already-existing book with the names and financials changed.

Almost all investment banking pitch books use a structure similar to the following:

  • Situation, or “Current State”: Your prospective client is looking for growth.
  • Complication, or “Problem”: The potential client’s growth rate has been slowing.
  • Hypothesis, or “Solution”: Acquiring a growing company can meet the potential client’s need for growth.

Then, the deck goes into detail, showing why the hypothesis might be true – including why the bank’s team is qualified to lead the transaction, similar transactions the bank has led before, and the valuation this company can expect to receive.

Pitch books must be designed to impress prospective clients. Apart from the design, they must have a compelling message. It is therefore vital to have a clear message underpinning the pitch. There should also be a clear message on each slide.

Pitchbook Examples

You can learn a lot by looking at examples of pitch books that have been used successfully in the past. They will illustrate what kind of content and design elements work well with investors and potential clients.

Example 1: Goldman Sachs Pitchbook Airvana Go Private Deck

Goldman Sachs has a track record of creating successful pitchbooks. One of their pitch books was used to win Airvana’s business. In the investment presentation, they gave the company the codename Atlas. Goldman made the presentation to Atlas’ Special Committee, and they included many detailed company projections. This shows how fully they understood Airvana’s business and financial position. Goldman included a detailed analysis of several strategic alternatives in their pitchbook.

Example 2: Medley Management’s 3-way Merger with Medley Capital and Sierra Income

This is another excellent example. The pitchbook was prepared by Barclays when they were pitching to become the M&A advisor to Medley Management during its merger with Medley Capital and Sierra Income. It’s a 38 pager that features beautifully designed graphs, pie charts, and tables. These techniques and presentation styles made it easier for Barclays to communicate with its potential clients effectively.

Example 3: Sale of Rouse Properties to Brookfield Asset Management

This is a sell-side pitchbook prepared by Bank of America and presented to Rouse Properties. Brookfield later acquired the business. The presentation includes 58 slides and has an impressive, concise, and detailed executive summary.

Pitchbook Template

The purpose of the pitch book is to give a comprehensive overview of the investment bank. It contains details such as the number of analysts, previous IPO successes, and the average number of deals completed per year. It can also include information about the financial strengths of the bank and the range of services it offers to its clients.

Creating a pitch book is often time-consuming and challenging, but the process can be simplified by using a template. A pitch book template is a blueprint that contains layouts, colors, fonts, effects, background styles, and general content.

An investment banking pitch book is a structured PowerPoint presentation created to attract new businesses. The pitch describes why the bank is the best choice for a transaction. The deck would focus on products if used by an investment firm. For example, it could use graphs and comparisons to a suitable benchmark to demonstrate the merits of a portfolio. There isn’t one formulaic way to make an investment banking pitch book. Much of the work depends on various factors, such as company culture or who a bank is pitching to.

Former Governor of Kano State and ex-Defence Minister, Senator Rabiu Musa Kwankwaso, is to chair The New Narrative Newspaper’s public presentation of the book titled, ‘The Inclined Leader: Rediscovering The Principles for Your Personal Development and Growth’, authored by the newspapers’ Publisher/Chief Executive Officer, Mr. Kalu Okoronkwo.

The event with the theme: ‘Empowering Leadership and Fostering Good Governance for Sustainable Development’ would hold on July 17, 2024. According to a statement, “Kwankwaso, a distinguished statesman and presidential candidate of the New Nigeria Peoples Party (NNPP) in the 2023 general election in Nigeria graciously penned the foreword to the book and brings a wealth of experience and insight to his role as Chairman of the event.

“Known for his dedication to leadership excellence and visionary governance, Senator Kwankwaso’s participation at the book presentation event promises to elevate the significance of the occasion and foster meaningful discussions among guests.” Speaking on the book launch, Okoronkwo said the Editorial Board and management of the newspaper were honoured to have Kwankwaso penned the foreword for the book and also to chair the public presentation.

“Senator Kwankwaso’s reputation as a principled leader and advocate for positive change perfectly aligns with the themes and messages conveyed in The Inclined Leader. We are confident that his presence will enhance the significance of the event and inspire engaging dialogue among participants,” he added.

“The book is a compendium on leadership and offers valuable insights and perspectives on leadership and good governance. “The book presentation event will also provide attendees with an opportunity to engage and participate in discussions, and gain deeper insights into the issues addressed in the book,” he emphasised.

He said the event would draw participants and stakeholders among political office holders, government officials, business leaders, academics and the general public.

“Attendees can anticipate an intellectual stimulation, lively discourse, and networking opportunities with fellow thought leaders and professionals,” he concluded.
