India is part of the continent of Asia. Most of India forms a peninsula, which means it is surrounded by water on three sides. The world's highest mountain range, the Himalaya, rises in the north. The southeast is bordered by the Bay of Bengal, and the southwest is bordered by the Arabian Sea.

India's terrain varies widely, from the Thar Desert in the west to jungles in the northeast. A fertile area called the Ganges Plain covers much of northern India. This formation was created from soil that was deposited by rivers running from the Himalaya. In some places, this layer of silt is over 25,000 feet (7,620 meters) deep.

PEOPLE & CULTURE

Society throughout India is divided into social ranks, called castes. Caste is determined by birth and there is almost no way to change it. High castes include priests, landowners, and soldiers. So-called Untouchables have no caste and do the most menial jobs.

India is a very spiritual country. It has no official religion, but more than 80 percent of Indians are Hindu. About 13 percent are Muslim. Other religions include Buddhism, Sikhism, and Jainism, which all began in India.

For thousands of years, since the Hindu religion first evolved, respect for animal life has been an important part of Indians' beliefs. Cows in particular are sacred and cannot be harmed. They are even allowed to wander through city streets, which often causes traffic jams!

India's varied climate zones support about 65,000 animal species, including elephants , pythons, river dolphins, and rhinos, and 12,000 types of flowering plants. It is the only country in the world with both lions and tigers . It's also a bird watcher's paradise.

On the coast of the Bay of Bengal is the Sundarbans, the world's largest mangrove forest. Here, tigers swim in the same rivers as dolphins, sea turtles, sharks, and saltwater crocodiles. This unique landscape is constantly under threat as sea levels rise and humans hunt illegally and clear trees for firewood.

The Himalaya mountains provide a home for some of India's rarest animals and plants. The most elusive animal is the snow leopard. Bears and black buck live lower down, and in the northeast, the tiger and one-horned rhinoceros can be found.

GOVERNMENT & ECONOMY

India's parliamentary government was inherited from the British. After independence in 1947, one party, the Congress Party, and one family, the Nehru family, dominated politics in India for decades. Now, however, many parties compete for elected positions.

India's economy is growing so fast that experts predict it will soon become one of the world's leading markets. Indians are hard workers. And though many are poorly educated, there are many others who are highly trained college graduates.

India's earliest known civilization arose about 5,000 years ago on the Indus River in what is now Pakistan. Archaeologists uncovered the remains of two huge cities with brick houses, piped water, and sewer systems. Nobody knows why, but these cities, called Harappa and Mohenjo Daro, were abandoned in 1700 B.C.

The Aryan people were farmers from Central Asia who arrived in India around 1500 B.C. They spoke Sanskrit, one of the world's oldest known languages. The Vedic Scriptures, writings that form the basis of the Hindu religion, were written during the Aryan reign.

In the 200-year reign of the Gupta Empire, starting in the fourth century A.D., arts, crafts, and sciences flourished. During this time, the Indian astronomer Aryabhatta determined that the Earth revolved around the sun. This was long before the Western world accepted the theory.

Beginning in the 16th century, following a series of invasions by Muslim forces, a Mongol leader named Babur founded the Mongol Empire. The Mongols oversaw a golden age of art, literature, and architecture in India between 1527 and 1707. They built roads, mosques, gardens, and enormous tombs, including the grand Taj Mahal.

In the late 1400s, Europeans arrived in India and began setting up trading companies. In 1757, Britain gained control over most of the country. Uprisings against British rule began in 1856. In 1920, the famous Mahatma Gandhi began nonviolent protests to push the British out. In 1947, India had independence.

Abstract: The talk, while presenting the nuances of Indian multilingual situations, will focus on similarity of methods used in Sanskrit grammar, Linguistics and AI. In this context, there will be a presentation of the contributions of Panini, Saussure and Chomsky leading to the emergence of computational linguistics and AI.  The National Education Policy of India launched in 2020 lays special emphasis on Mother Tongue education which poses real implementation challenges considering the multitude of languages and speech communities in India. Discussing "Indian and Western Philosophical Concepts in Religion" with Drs. Raj Balkaran, Jeff Long

Philosophical concepts are influential in the theories and methods of studying world religions. Even though anthropology and religious studies now encompass communities and cultures worldwide, the theories and methods used to study world religions and cultures continue to be rooted in Western philosophies. For instance, one of the most widely used textbooks used in introductory courses on religious studies introduces major theoreticians such as Edward Burnett Tylor, James Frazer, Sigmund Freud, Emile Durkheim, Karl Marx, Max Weber, Mircea Eliade, William James, E. E. Evans-Pritchard, and Clifford Geertz. Their theories are based on Western philosophy. In contrast, in Indic philosophical systems, such as Buddhism, Hinduism, and Jainism, one of the common views on reality is that the world, both within oneself and outside, is a flow with nothing permanent, both the observer and the observed undergoing constant transformation. Incredible India Incredible is something unbelievable...too good to be true. India has an amazing variety in terms of cultures, traditions, clothes, people, religion, languages, vegetation, population, landforms, soil colours, cuisine, musical instruments, vocal music, dances. And yet there's unity in so much diversity. Three oceans meet at the Southern tip of India, on the North are the beautiful snowy mountains, and in between there are gorgeous hill stations, plateaus, plains, tropical forests, flowing rivers, pastures, farms, tiny towns and attractive cities. India also starts with the word "I and N" as in Incredible !!

Incredible India : INTRODUCTION • India is a country of diversities. • It is located in South Asia. • It is the seventh largest nation in the world and the second largest by population with over 1.2 billion people. • India is also the world’s largest democracy. It has 5000 year old civilization and has one of the world’s oldest heritages. • There are about 325 languages and 1625 dialects. • India has 18 official languages.

HISTORY Indus Valley Civilization – One of the world’s first great urban civilizations. World’s first university – Takshila 700 B.C. Sanskrit Language – most suitable for computer software. Yoga was made in India around 5000 B.C. India got Independence on August 15th, 1947. India became a republic nation on January 26th, 1950.

GEOGRAPHY Location : Southern Asia India is bordered by 9 neighbouring countries : Afghanistan, Bangladesh, Bhutan, China, Maldives, Myanmar, Nepal, Pakistan, and Srilanka. India is also surrounded by the Bay of Bengal on the right and The Arabian sea on the left. The Indian Ocean is on the south of the Indian Sub-continent. India has a total of 29 states and 7 union territories. There are Seven major rivers along with their numerous tributaries which make up the river system in India.

CULTURE & TRADITION

CULTURE & TRADITION India is a secular country as stated in its Constitution. There is freedom of worship throughout the length and breadth of India without any breeches or violations of any other’s religious beliefs. The Hindus, The Muslims, The Christians, and The Sikhs in times of calamity and during festivities come openly together to share their thoughts despite their religious affinities.

GLORY OF INDIA

Glory of India India has never invaded any country in her last 10,000 years of history.India invented the number system. Zero was invented by Aryabhatta. Ayurveda is the earliest system of medicine known to humans. Calculus was originated in India. The ‘place value system’ and the ‘decimal system’ were developed in 100 B.C. The value of “Pi” and “Pythagorean Theorem” were first calculated by the Indian Mathematician Budhayana.

FOOD Food, gorgeous food... We hear some very old saying “The way to a man's heart is through his stomach” and “An army marches on its stomach” and so many other one liners that all centre around one of life's necessities - FOOD. Indian food- beginning with "curry"- has taken the world by storm, and today there's an Indian restaurant in most parts of the world. The non-vegetarian side of Indian cuisines comprises of many juicy, tender, mouth watering delicacies made with eggs, chicken, fish, red meat etc. Vegetables are an integral part of our Indian food recipes and we consume them in a number of ways. For pure vegetarians, India is a heaven.

WILDLIFE India's wildlife is both rich and varied. More than 4% of India's land is under forest cover. There are around 90 national parks and 482 wildlife sanctuaries. The country is one of the 12 mega diversity areas in the world, in terms of animal. The varied landscape and diverse flora and fauna is simply cannot be missed by a wildlife enthusiast. One can witness different species of tigers, Asian elephants, Asiatic lions, rhinoceros, leopards, wild boars, and reptiles like chameleon, tortoise, water monitor, gharial etc in Indian forests.

The Thirty-Eighth Annual Conference on Neural Information Processing Systems (NeurIPS 2024) is an interdisciplinary conference that brings together researchers in machine learning, neuroscience, statistics, optimization, computer vision, natural language processing, life sciences, natural sciences, social sciences, and other adjacent fields. We invite submissions presenting new and original research on topics including but not limited to the following:

• Applications (e.g., vision, language, speech and audio, Creative AI)
• Deep learning (e.g., architectures, generative models, optimization for deep networks, foundation models, LLMs)
• Evaluation (e.g., methodology, meta studies, replicability and validity, human-in-the-loop)
• General machine learning (supervised, unsupervised, online, active, etc.)
• Infrastructure (e.g., libraries, improved implementation and scalability, distributed solutions)
• Machine learning for sciences (e.g. climate, health, life sciences, physics, social sciences)
• Neuroscience and cognitive science (e.g., neural coding, brain-computer interfaces)
• Optimization (e.g., convex and non-convex, stochastic, robust)
• Probabilistic methods (e.g., variational inference, causal inference, Gaussian processes)
• Reinforcement learning (e.g., decision and control, planning, hierarchical RL, robotics)
• Social and economic aspects of machine learning (e.g., fairness, interpretability, human-AI interaction, privacy, safety, strategic behavior)
• Theory (e.g., control theory, learning theory, algorithmic game theory)

Machine learning is a rapidly evolving field, and so we welcome interdisciplinary submissions that do not fit neatly into existing categories.

Authors are asked to confirm that their submissions accord with the NeurIPS code of conduct .

Formatting instructions:   All submissions must be in PDF format, and in a single PDF file include, in this order:

• The submitted paper
• Technical appendices that support the paper with additional proofs, derivations, or results 
• The NeurIPS paper checklist  

Other supplementary materials such as data and code can be uploaded as a ZIP file

The main text of a submitted paper is limited to nine content pages , including all figures and tables. Additional pages containing references don’t count as content pages. If your submission is accepted, you will be allowed an additional content page for the camera-ready version.

The main text and references may be followed by technical appendices, for which there is no page limit.

The maximum file size for a full submission, which includes technical appendices, is 50MB.

Authors are encouraged to submit a separate ZIP file that contains further supplementary material like data or source code, when applicable.

You must format your submission using the NeurIPS 2024 LaTeX style file which includes a “preprint” option for non-anonymous preprints posted online. Submissions that violate the NeurIPS style (e.g., by decreasing margins or font sizes) or page limits may be rejected without further review. Papers may be rejected without consideration of their merits if they fail to meet the submission requirements, as described in this document. 

Paper checklist: In order to improve the rigor and transparency of research submitted to and published at NeurIPS, authors are required to complete a paper checklist . The paper checklist is intended to help authors reflect on a wide variety of issues relating to responsible machine learning research, including reproducibility, transparency, research ethics, and societal impact. The checklist forms part of the paper submission, but does not count towards the page limit.

Supplementary material: While all technical appendices should be included as part of the main paper submission PDF, authors may submit up to 100MB of supplementary material, such as data, or source code in a ZIP format. Supplementary material should be material created by the authors that directly supports the submission content. Like submissions, supplementary material must be anonymized. Looking at supplementary material is at the discretion of the reviewers.

We encourage authors to upload their code and data as part of their supplementary material in order to help reviewers assess the quality of the work. Check the policy as well as code submission guidelines and templates for further details.

Use of Large Language Models (LLMs): We welcome authors to use any tool that is suitable for preparing high-quality papers and research. However, we ask authors to keep in mind two important criteria. First, we expect papers to fully describe their methodology, and any tool that is important to that methodology, including the use of LLMs, should be described also. For example, authors should mention tools (including LLMs) that were used for data processing or filtering, visualization, facilitating or running experiments, and proving theorems. It may also be advisable to describe the use of LLMs in implementing the method (if this corresponds to an important, original, or non-standard component of the approach). Second, authors are responsible for the entire content of the paper, including all text and figures, so while authors are welcome to use any tool they wish for writing the paper, they must ensure that all text is correct and original.

Double-blind reviewing:   All submissions must be anonymized and may not contain any identifying information that may violate the double-blind reviewing policy.  This policy applies to any supplementary or linked material as well, including code.  If you are including links to any external material, it is your responsibility to guarantee anonymous browsing.  Please do not include acknowledgements at submission time. If you need to cite one of your own papers, you should do so with adequate anonymization to preserve double-blind reviewing.  For instance, write “In the previous work of Smith et al. [1]…” rather than “In our previous work [1]...”). If you need to cite one of your own papers that is in submission to NeurIPS and not available as a non-anonymous preprint, then include a copy of the cited anonymized submission in the supplementary material and write “Anonymous et al. [1] concurrently show...”). Any papers found to be violating this policy will be rejected.

OpenReview: We are using OpenReview to manage submissions. The reviews and author responses will not be public initially (but may be made public later, see below). As in previous years, submissions under review will be visible only to their assigned program committee. We will not be soliciting comments from the general public during the reviewing process. Anyone who plans to submit a paper as an author or a co-author will need to create (or update) their OpenReview profile by the full paper submission deadline. Your OpenReview profile can be edited by logging in and clicking on your name in https://openreview.net/ . This takes you to a URL "https://openreview.net/profile?id=~[Firstname]_[Lastname][n]" where the last part is your profile name, e.g., ~Wei_Zhang1. The OpenReview profiles must be up to date, with all publications by the authors, and their current affiliations. The easiest way to import publications is through DBLP but it is not required, see FAQ . Submissions without updated OpenReview profiles will be desk rejected. The information entered in the profile is critical for ensuring that conflicts of interest and reviewer matching are handled properly. Because of the rapid growth of NeurIPS, we request that all authors help with reviewing papers, if asked to do so. We need everyone’s help in maintaining the high scientific quality of NeurIPS.

Ethics review: Reviewers and ACs may flag submissions for ethics review . Flagged submissions will be sent to an ethics review committee for comments. Comments from ethics reviewers will be considered by the primary reviewers and AC as part of their deliberation. They will also be visible to authors, who will have an opportunity to respond.  Ethics reviewers do not have the authority to reject papers, but in extreme cases papers may be rejected by the program chairs on ethical grounds, regardless of scientific quality or contribution.  

Preprints: The existence of non-anonymous preprints (on arXiv or other online repositories, personal websites, social media) will not result in rejection. If you choose to use the NeurIPS style for the preprint version, you must use the “preprint” option rather than the “final” option. Reviewers will be instructed not to actively look for such preprints, but encountering them will not constitute a conflict of interest. Authors may submit anonymized work to NeurIPS that is already available as a preprint (e.g., on arXiv) without citing it. Note that public versions of the submission should not say "Under review at NeurIPS" or similar.

Dual submissions: Submissions that are substantially similar to papers that the authors have previously published or submitted in parallel to other peer-reviewed venues with proceedings or journals may not be submitted to NeurIPS. Papers previously presented at workshops are permitted, so long as they did not appear in a conference proceedings (e.g., CVPRW proceedings), a journal or a book.  NeurIPS coordinates with other conferences to identify dual submissions.  The NeurIPS policy on dual submissions applies for the entire duration of the reviewing process.  Slicing contributions too thinly is discouraged.  The reviewing process will treat any other submission by an overlapping set of authors as prior work. If publishing one would render the other too incremental, both may be rejected.

Anti-collusion: NeurIPS does not tolerate any collusion whereby authors secretly cooperate with reviewers, ACs or SACs to obtain favorable reviews. 

Author responses:   Authors will have one week to view and respond to initial reviews. Author responses may not contain any identifying information that may violate the double-blind reviewing policy. Authors may not submit revisions of their paper or supplemental material, but may post their responses as a discussion in OpenReview. This is to reduce the burden on authors to have to revise their paper in a rush during the short rebuttal period.

After the initial response period, authors will be able to respond to any further reviewer/AC questions and comments by posting on the submission’s forum page. The program chairs reserve the right to solicit additional reviews after the initial author response period.  These reviews will become visible to the authors as they are added to OpenReview, and authors will have a chance to respond to them.

After the notification deadline, accepted and opted-in rejected papers will be made public and open for non-anonymous public commenting. Their anonymous reviews, meta-reviews, author responses and reviewer responses will also be made public. Authors of rejected papers will have two weeks after the notification deadline to opt in to make their deanonymized rejected papers public in OpenReview.  These papers are not counted as NeurIPS publications and will be shown as rejected in OpenReview.

Publication of accepted submissions:   Reviews, meta-reviews, and any discussion with the authors will be made public for accepted papers (but reviewer, area chair, and senior area chair identities will remain anonymous). Camera-ready papers will be due in advance of the conference. All camera-ready papers must include a funding disclosure . We strongly encourage accompanying code and data to be submitted with accepted papers when appropriate, as per the code submission policy . Authors will be allowed to make minor changes for a short period of time after the conference.

Contemporaneous Work: For the purpose of the reviewing process, papers that appeared online within two months of a submission will generally be considered "contemporaneous" in the sense that the submission will not be rejected on the basis of the comparison to contemporaneous work. Authors are still expected to cite and discuss contemporaneous work and perform empirical comparisons to the degree feasible. Any paper that influenced the submission is considered prior work and must be cited and discussed as such. Submissions that are very similar to contemporaneous work will undergo additional scrutiny to prevent cases of plagiarism and missing credit to prior work.

Plagiarism is prohibited by the NeurIPS Code of Conduct .

Other Tracks: Similarly to earlier years, we will host multiple tracks, such as datasets, competitions, tutorials as well as workshops, in addition to the main track for which this call for papers is intended. See the conference homepage for updates and calls for participation in these tracks. 

Experiments: As in past years, the program chairs will be measuring the quality and effectiveness of the review process via randomized controlled experiments. All experiments are independently reviewed and approved by an Institutional Review Board (IRB).

Financial Aid: Each paper may designate up to one (1) NeurIPS.cc account email address of a corresponding student author who confirms that they would need the support to attend the conference, and agrees to volunteer if they get selected. To be considered for Financial the student will also need to fill out the Financial Aid application when it becomes available.

TikTok Tells Advertisers: ‘We Are Not Backing Down’

Hundreds of advertisers, including major brands like L’Oreal and Victoria’s Secret, flocked to the Lower East Side on Thursday night for TikTok’s annual spring pitch to marketers. It had been about a week since President Biden signed a law that says TikTok must be sold from its Chinese parent company or face a potential ban, and marketers were champing at the bit to hear TikTok’s thoughts.

They didn’t have to wait long. Blake Chandlee, TikTok’s president of global business solutions, kicked off the evening by thanking advertisers for their “tremendous support and trust” and said the company considered the law unconstitutional and would challenge it in court.

“We believe the facts and the law are clearly on our side and that we will ultimately prevail,” Mr. Chandlee told more than 300 attendees, some of whom couldn’t find chairs in the crowd. “I want you to know we are not backing down.”

But for the rest of the roughly 45-minute presentation, which took place in a large gallery with the fuchsia and light blue lights of TikTok’s logo, it was business as usual. And it was a keen reminder that Madison Avenue’s concerns about TikTok, which center on how to cleverly market their products and ensure that consumers are seeing their ads, are vastly different from those of Washington, where officials consider the app a national security risk.

Sofia Hernandez, TikTok’s global head of business marketing, declared that TikTok had gone from “being viral to vital” for businesses. The company’s executives introduced new tools for running ads against trends and events like the Summer Olympics in Paris. A Unilever marketing executive described how the Vaseline brand had thrived by tapping into a TikTok skin care trend known as “ slugging .” Many marketers were visibly confused until she explained that the term referred to slathering one’s face with petroleum jelly before bedtime to seal in other serums and moisturizers.

“TikTok is the most interesting story in advertising right now,” said Craig Brommers, chief marketing officer of the retailer American Eagle, who attended the event. “That’s why you had a standing-room-only audience waiting to hear what’s next for the most important video platform for Gen Z.”

Near one of the long bars serving “Violet Hour” cocktails and wine, several stations highlighted creators from TikTok niches like sports and luxury. “From boy moms to girl dads, TikTok is for #parents,” one said. The company sent guests home with branded Dagne Dover bags that retail for around $75.

TikTok’s executives reminded advertisers that with 170 million monthly U.S. users, the user base had started to reflect the general population. “We’re not just Gen Z anymore,” said Tim Natividad, TikTok’s U.S. head of enterprise sales.

Advertising is the lifeblood of platforms like TikTok, which has become a core tool for marketers pitching Americans on new makeup, fast-food hacks , music and more. The company appears determined to maintain ad dollars amid its uncertain future, particularly as U.S. tech giants focus on their market share and push short-form video competitors like Google’s YouTube Shorts and Instagram Reels.

TikTok and its Chinese parent company, ByteDance, are private and do not publicly disclose their financials. Brian Wieser, an independent ad industry analyst, recently estimated that TikTok brought in $6 billion in U.S. ad sales last year, but said that excluded revenue from e-commerce, tipping and other ventures. In the United States, TikTok users spend 54 minutes per day on the app, while Instagram users spend 35 minutes on that app, with 21 of those minutes devoted to video, according to the data firm eMarketer.

Under the law signed law week, TikTok must be sold from ByteDance within the next nine months. The Biden administration, lawmakers and security experts have said that under TikTok’s current ownership, there are risks that the Chinese government could lean on ByteDance for access to sensitive data on TikTok users or to spread propaganda.

The company has not yet sued to challenge the law.

Last week, after President Biden signed the bill, Michael Beckerman, TikTok’s head of public policy for the Americas, told employees at an all-hands meeting that the situation was “unprecedented” and “very political,” according to an audio recording that was shared with The New York Times.

“We’re sitting between some of the largest geopolitical issues of our time as well as some very, very complicated issues with technology globally, and privacy and all these policy issues,” Mr. Beckerman said in the April 24 meeting.

Mr. Beckerman said he was buoyed by Mr. Biden’s plan to use TikTok in the lead-up to the election. He also said the vote “was not about us” because it passed as part of a broader package of aid for countries like Ukraine and Israel.

(GIL; TSX and NYSE) today announced that it has published an investor presentation, entitled “Successfully Driving Long-Term Value for All Shareholders”, in connection with its upcoming 2024 Annual Meeting of Shareholders (the “2024 Annual Meeting”) to be held on May 28, 2024. • Gildan is an industry-leading company with a strategic moat around its business – given its competitive position and advantageous cost structure, the company should be a winner.

Mr. Chamandy himself agreed that change was needed when he told the Board in 2021 that he would retire in 3-5 years. Despite this, Mr. Chamandy sabotaged the process when it came time to execute on the succession plan.
• Mr. Chamandy was gradually more disengaged in Gildan’s business, averaging only 4 days in the office per month in the six months prior to his termination and sending out no more than a handful of work-related emails each day.
• Mr. Chamandy was distracted by outside personal pursuits including the development a luxury golf resort in Barbados.
• Mr. Chamandy never visited Gildan’s newest manufacturing plant in Bangladesh, a major investment for the company.
• Mr. Chamandy held few senior management meetings.
• Mr. Chamandy failed to govern himself in accordance with acceptable standards of behavior for a chief executive, such as recording a private and confidential phone call with former Chair Donald Berg, without Mr. Berg’s knowledge.
• Instead of putting forward a compelling strategy, Mr. Chamandy attempted to entrench himself by giving the Board an ultimatum: approve a high-risk multi-billion-dollar acquisition strategy predicated on guaranteeing his role as CEO for several more years to oversee its integration, or he would leave the Company immediately and sell his shares.
• Gildan’s business was losing momentum, growth was stalled, and share price performance had been stagnating for the past ~10 years.
• While the Board was focused on an orderly transition, Mr. Chamandy’s sabotage of an agreed succession plan and his insistence of a risky and dilutive multi-billion-dollar acquisitions strategy left the Board with no choice but to terminate him.

• Southfield Capital: As an Operating Partner and Investment Committee Member at Southfield, Vince helped achieve industry leading returns by positively impacting many portfolio companies in various leadership positions. At Southfield, Vince’s portfolio produced strong returns, with an internal rate of return of 27% and a multiple of invested capital of 3.2x.
• Broder Bros.: As CEO of Broder, Vince spearheaded a successful series of acquisitions, including Alpha Shirts – later named Alphabroder, tripling EBITDA – the basis for value creation at private equity firms. Under Vince’s leadership, Broder successfully executed Bain Capital’s levered roll-up strategy and transformed itself into the market leader.
• Fruit of the Loom: Vince joined Fruit of the Loom from 1997 to 2000 where the board of directors promoted him to President during a tumultuous time where he developed and implemented a successful restructuring plan ahead of its eventual sale to Berkshire Hathaway.
• In addition, Vince invested in and grew his own activewear business early in his career, while utilizing Gildan as a key supplier.
• Vince has served on the board of directors at 10 companies and stepped in as interim CEO at three companies.
• Visiting 18 offices and manufacturing sites to get immersed in Gildan’s processes and cultures,
• Attending various trade shows to reinforce his presence and reconnect with customers,
• Holding town halls and interacting with approximately 94% of Gildan’s global leadership base as well as over 2,000 employees to create a two-way dialogue,
• Kicking off dialogue with major partners to better understand challenges and opportunities, and
• Putting forward an enhanced GSG strategy that reflects the input of shareholders and leverages Gildan’s manufacturing strength by growing its commercial capability.
• After Mr. Chamandy’s termination, the Board retained renowned independent corporate governance expert, Dr. Richard Leblanc to evaluate Gildan’s CEO succession planning process. His report concluded that the Board took a series of “reasonable steps” that would be expected of a Canadian public company board. Among his key findings, Leblanc stated: “Based on my review, it is my opinion that the Board acted in a manner consistent with prevailing standards of corporate governance for CEO succession planning, and the duties and obligations owed by directors to Gildan , during the time from May 2021 to the letter of termination of the former CEO, dated December 10, 2023.”
• The Company’s enhanced GSG strategy, which reflects feedback received from shareholders and their desire for us to continue sustainably growing Gildan is an actionable, realistic plan that enables the Company to leverage its strengths and accelerate value creation for shareholders and other stakeholders.
• Unlike Gildan’s thoughtful plan, Browning West and Mr. Chamandy’s strategy is an unrealistic “marketing” plan fueled by improbable operating projections with the sole purpose of gaining votes and winning the proxy fight. Further, Mr. Chamandy’s strategy has recently evolved into a “bait and switch” strategy that lacks credibility and conviction. Mr. Chamandy’s plan which was presented to Gildan’s Board in October 2023 was a risky strategy with limited organic growth prospects and presented a value cap on Gildan without any acquisitions. Drastically, only 5 months later, Browning West and Mr. Chamandy’s new strategy has completely shifted to growing sales through market share gains and boosting short-term returns via aggressive and risky financial engineering – all with highly aggressive, unrealistic financial projections.
• Gildan’s Board has attempted to engage Browning West on multiple occasions to end this costly, disruptive proxy fight and reach a settlement, but Browning West continues to refuse to engage constructively.
• Browning West is solely focused on taking control of Gildan without paying a premium and is not acting in the best interests of all shareholders.
