About the Author
Anthony Liuzzo
Anthony L. Liuzzo, J.D., MBA, Ph.D. Dr. Anthony L. Liuzzo is Professor Emeritus at Wilkes University where, until recently, he served as Professor of Business and Economics and Chairperson of the Business Programs of Arizona. Dr. Liuzzo is a licensed attorney and economist. He earned his Ph.D. in business administration, Master of Philosophy in economics, and MBA in management and organizational behavior from New York University; his law degree from St. John’s University; and his bachelor’s degree in marketing from Fordham University in New York City. Specializing in public policy issues, employment law, and holiday retail sales forecasting, he has been cited on numerous occasions in hundreds of publications—including CNN, Fox News, Forbes, The New York Times, USA Today, the Arizona Republic, the New York Daily News, the Philadelphia Daily News, the Chicago Tribune, the Washington Times, the Cincinnati Enquirer, the Pittsburgh Post-Gazette, the Detroit News, the Christian Science Monitor, and the San Francisco Examiner—for his views on legal and business issues. Dr. Liuzzo has been the author of several editions of the popular textbook, Essentials of Business Law, and its accompanying assessment materials, mobile applications, and instructor’s manual, published by McGraw-Hill. Dr. Liuzzo is also the author of several books and numerous articles that have appeared in scholarly and professional journals. He has served as editor of a scholarly journal and has been instrumental in creating several successful small businesses. Dr. Liuzzo is an active member of many professional and community organizations and currently serves as a member and officer of several boards of directors.
Ruth Calhoun Hughes
Ruth Hughes serves as Assistant Professor of Business Law at Wilkes University in Wilkes-Barre, Pennsylvania. Hughes is a licensed attorney and received her JD from Washington and Lee University in Lexington, Virginia, and her BA in economics from Tulane University in New Orleans, Louisiana. She began her career as an attorney specializing in corporate transactions in New York City and Wilkes-Barre, Pennsylvania. She was director of the Small Business Development Center in Wilkes-Barre for many years before joining the faculty of the Sidhu School of Business and Leadership at Wilkes University in 2013. Her research interests, publications, and presentations include the areas of environmental sustainability in business, equity crowdfunding, and emerging trends in securities laws. She serves as a reviewer for several academic publications. Hughes is an active member of many university, professional and community organizations. She is married to Richard Hughes and the proud mother of three children, Callie, Ellen, and Richard.

The textbook covers a wide variety of general legal areas. It is appropriate for a college-level business law course though it has many chapters that are not business-focused but instead could fit in a generally broad undergraduate legal survey class.
Content Accuracy rating: 5
The text is accurate and does a good job of clearly addressing each of the identified objectives listed at the beginning of each chapter. If you are skimming the text those objectives do a good job of telling you what that chapter will be about and what it will cover.
Relevance/Longevity rating: 4
This textbook generally covers broad-based legal principles and historical legal traditions that are timeless and each chapter for the most part covers a different area of the law and can stand alone. There is a section of a few chapters in a row that cover contracts and another few in a row that covers business formation and operations, but most chapters can stand alone. This makes it easy for someone teaching who wants to use this text to only have students read chapters that are relevant to what the class will cover. Some topics that are covered are subject to more frequent and regular changes in the law so care will have to be considered for those areas.
Clarity rating: 4
The text is written for an undergraduate student level, it is not overly full of legalese or something you would see used in a law school course. The text is most likely for business students or those seeking a course that will provide a basic legal overview. I would not expect it to be used in a paralegal-oriented course, however.
Consistency rating: 5
The book is consistent in how it lays things out and in style, tone, and demeanor. The content is primarily text-based but there are some charts and basic graphs that do provide some varied content to help break up the text pages.
Modularity rating: 5
Each chapter of the book covers a unique area that can be studied separately from the other chapters. Most chapters highlight a unique area of the law and cover the basic principles and terminology related to that area. Most chapters’ content will not tie into or build upon things covered in previous or subsequent chapters.
Organization/Structure/Flow rating: 4
The book is logically organized and covers most of the topics you would expect to see covered in an undergraduate legal survey or introductory business law course. There is not as much content about applying the legal principles covered in practical settings so if using this text that kind of information will be needed as a supplement.
Interface rating: 5
The text overall was clear and easy to read. There were a few charts and tables to help supplement the content where appropriate. There were also occasional “counselor’s corner” call-out boxes that helped explain to the reader why this area of content was particularly important.
Grammatical Errors rating: 5
The text is free from grammatical and spelling errors.
Cultural Relevance rating: 5
The textbook is not insensitive or offensive in any way and it has a chapter that focuses on an anti-discrimination law that is well-written, timely, and appropriate for the age and time.
This is a good textbook for undergraduate students seeking a basic understanding of the law. Most business law courses or legal survey courses of this type are semester-long, though there is enough content in this text to be used for a full school year if there is a business law 2 class that would follow the first one. A high school dual credit business law class that goes year long could also use this text.

The book covered a lot of legal ground and I think it would be useful as a reference to not only those interested in business law, but other fields as well.
Content Accuracy rating: 3
I did find some areas in the book that did indicate biases in the form of what "should" be the legal landscape as well as the national governance history (1.2) and if it could be tied to problems businesses may have if trying to operate their businesses under different legal regimes, I think that would have been useful.
Relevance/Longevity rating: 5
Most of the subjects and legal guidance will stand the test of time. The more volatile areas (labor law, IP, products liability) may evolve more quickly, but generally I think the fundamentals are sound.
The text is written in accessible prose. The book does have a more "lawyerly" tone than I expected, but it was not overwhelming.
Consistency rating: 4
I did find repetition in some places - particularly with regard to how the legal system is structured (separation of powers, as well as court system) in the United States and the several places the Constitution was discussed in similar terms as well as international law. I did find myself going back to see whether I had already read a page or saw a graphic more than once.
Modularity rating: 4
For modularity purposes, then my comment above regarding "consistency" may not be applicable. If it is intended to be modular, then that clarifies what I thought was repetitive. I definitely think that a syllabus could be pulled cleanly from different sections to address issues as they are needed over a course.
The chapters are presented in a logical, clear fashion. I did find for myself that I was expecting a discussion about something that didn't - for example, I was expecting a discussion about business/professional ethics, which I didn't find.
Interface rating: 4
Generally, the interface was good. There were a few tables that did not appear completely on the page.
I did not notice any glaring grammatical errors.
Cultural Relevance rating: 4
The text is not culturally insensitive, however, when referring to conditions in other countries, I think it would have been useful to link the cultural/legal differences to how businesses should engage legally and responsibly in other countries.
Something that stood out was that there were direct quotes from people - but their full names were not provided. I am not sure why that was - and it was a little confusing - was it an effort to hide someone's identity? If that is the case, I'm not sure why the person was quoted at all if not an authority on the subject for which they were being quoted. The book was legal procedure and practice heavy at the beginning of the book. Because Chapter 1 indicated that the book was intended to help navigate business dealings, the emphasis on what law students would usually study to become lawyers, may confuse people who want to know legal nuts and bolts for operating a business. It would come in handy as a reference if a business got into trouble!

The eyebrow-raising legal theory behind Alvin Bragg’s case against Trump

It took a jury two days to find former president Donald Trump guilty of all 34 counts of falsifying business records in the first degree, proving that Manhattan District Attorney Alvin Bragg's somewhat risky approach to prosecuting the hush money case was a sound choice.
Soon after Bragg's office brought the first indictment against Trump in April 2023, three other felony indictments were returned in three other jurisdictions: Florida, Georgia and the District of Columbia. As the cases wound their way through their respective state and federal court systems, the expectation was that Trump’s D.C. federal election interference case would go to trial before any of the others. Many were therefore surprised when it was announced that Bragg’s case would be the first to go. And the (somewhat delayed) scrutiny into the New York election interference case kicked into overdrive.
It’s the added element of the “another crime” that raised eyebrows.
When the indictment was unsealed in April 2023, it revealed 34 felony counts of falsifying business records in the first degree, in violation of New York Penal Law, Section 17-152. It’s important to take a minute to digest what the prosecution had to prove, beyond a reasonable doubt: Trump, with the intent to defraud, made (or caused to be made) false entries in an enterprise’s business records, and his “intent to defraud included an intent to commit another crime or to aid or conceal the commission thereof.” What is the other crime that the prosecution said Trump intended to commit or to aid or conceal the commission of? According to Assistant District Attorney Joshua Steinglass, that would be New York Election Law Section 17-152: “Conspiracy to promote or prevent election. Any two or more persons who conspire to promote or prevent the election of any person to a public office by unlawful means.”
The Manhattan DA’s office has prosecuted a number of falsification of business records cases. These are usually straightforward, run-of-the-mill paper crimes. Bragg has even referenced them as the “bread and butter” of his office’s white-collar work. But it’s the added element of the “another crime” that raised eyebrows. And this is the heart of the novel legal theory that Bragg chose to employ in this trial. The Washington Post reviewed the New York State Law Reporting Bureau as far back as 2000 for any relevant case law regarding this specific statute. The report found “two entries in which a judge issued legal opinions on the statute. Both were from [Judge Juan] Merchan last year in rejecting Trump’s motions to have the case dismissed.” That’s how rarely Section 17-152 is prosecuted in New York. And that fact makes Bragg’s decision to primarily premise the prosecution of a former president of the United States on that statute even more novel.
Bragg is an experienced prosecutor. He graduated from Harvard Law School, clerked for a federal judge, worked in the New York attorney general’s office as a federal prosecutor in the Southern District of New York, and was a law professor at New York Law School. While at the SDNY, his case focus was on fraud and money laundering cases, as well as public corruption. He knows his way around the courtroom and is no stranger to Trump prosecutions: He led the team at the AG’s office that successfully prosecuted the Trump Foundation, for which it was dissolved and Trump made to pay $2 million in restitution.
Bragg had the right combination of book smarts and street smarts to bring this indictment against Trump, and the wisdom to see this case for what it truly was. In an interview with WNYC , he declared: “The core is not money for sex. ... it’s about conspiring to corrupt a presidential election.”
As you may recall, Bragg’s predecessor, Cyrus Vance Jr., began investigating Trump as far back as 2019. Vance has advised that his investigation began in and around the same time as that of the Southern District of New York. In fact, he says that the SDNY told him to stand down, which he did for over a year. Vance ultimately decided not to prosecute Trump — or any of his confederates — on any charges. One reason : due to concerns about “novel issues around using the false statements statute in connection with committing a crime that violates federal election laws.” Vance did indict, in July 2021, former Trump Organization CFO Allen Weisselberg, the Trump Corp. (doing business as Trump Organization) and the Trump Payroll Corp. (doing business as Trump Organization) on, among other offenses, charges of criminal tax fraud, grand larceny and falsification of business records in the first degree. That prosecution resulted in a guilty plea to perjury from Weisselberg and a guilty verdict after trial for the remaining defendants.

Two top prosecutors, Carey Dunne and Mark Pomerantz, who were brought in by Vance to run the Trump investigation and stayed on when Bragg took the reins, abruptly resigned in early 2022 . Pomerantz, in his resignation letter that was made public , harshly criticized Bragg for his inaction. Pomerantz said in the letter that he believed that Trump was “guilty of numerous felony violations” and that Bragg’s decision not to prosecute Trump was “contrary to the public interest.” Fast-forward 13 months, and Trump was indicted by Bragg.
The inside baseball on prosecuting cases is that even if the facts meet all of the elements of the crime, and even if there is a good faith basis to prosecute, that doesn’t necessarily mean there aren’t other factors considered before deciding to move forward with a case. Part of that calculation includes a likelihood of success with a jury. In this instance, Bragg and his prosecution team must have considered if there was a chance of jury nullification and if the jury would be able to understand the theory of the prosecution and care enough about this case. With a guilty verdict now reached, I guess we know the answer.

The evidence that led to Trump’s hush money conviction
The prosecution’s case against Trump relied on 34 documents: 11 invoices, 12 vouchers and 11 checks.
Throughout Donald Trump’s hush money trial, prosecutors repeatedly told jurors not to rely on what Michael Cohen, their key witness and the ex-president’s former lawyer and fixer, had said in court.
Instead, they should focus their attention on the paper trail.
The jury seems to have done that, finding Trump guilty on all 34 counts of falsifying business records. At the heart of the prosecution’s case against Trump were 34 documents: 11 invoices, 12 vouchers and 11 checks. Each of these documents accounted for one of the charges on which Trump was found guilty.

Prosecutors alleged that these documents show that Trump intentionally misclassified payments to Cohen that reimbursed him for hush money he gave adult-film actress Stormy Daniels ahead of the 2016 election. The hush money was to keep Daniels quiet about a sexual encounter she says she had with Trump in 2006 — an allegation Trump denies.

In total, the prosecution found that Cohen was paid $420,000 by Trump and his trust in 2017. Cohen told jurors in his testimony that this sum was discussed at a meeting with Trump and then-Trump Organization CFO Allen Weisselberg days before Trump’s inauguration. It includes the $130,000 in hush money, $50,000 toward a vendor payment Cohen had addressed for Trump, $180,000 to cover any tax liability on those two payments and a $60,000 bonus.
The various amounts were documented on a handwritten note by former Trump Organization controller Jeffrey McConney, who testified to a separate meeting with Weisselberg where they discussed the repayment plan to Cohen.
In the meeting with Trump and Weisselberg, Cohen testified, the men decided he would be repaid for his $130,000 payment to Daniels through twelve $35,000 payments.

And here are the 34 exhibits the prosecution introduced into evidence to support their claim of a paper trail to reimburse Cohen for his payment to Daniels.
In total, Cohen sent 11 invoices to Weisselberg in 2017 for “services rendered.” He later testified that no services were in fact rendered, and that the check was really “reimbursement of hush money.”
In total, 12 vouchers were created to record the payments to Cohen. Vouchers are a standard business practice to record how much money a company spends, and to detail who is paid and why, but the prosecution alleges that these vouchers inaccurately describe the money being paid to Cohen as a legitimate legal expense. The voucher entries were recorded by Trump Organization bookkeeper Deborah Tarasoff, who testified that authorization to pay Cohen came from Weisselberg and another top financial officer of the company.

What happens next? Trump’s sentencing is scheduled for July 11. He faces up to four years in prison, but legal experts say incarceration appears unlikely. Trump has 30 days to file notice of an appeal of the verdict and six months to file the full appeal.
Reaction to the verdict: Trump continued to maintain his innocence , railing against what he called a “rigged, disgraceful trial” and emphasizing voters would deliver the real verdict on Election Day.
The charges: Trump was found guilty on 34 felony counts of falsifying business records . Falsifying business records is a felony in New York when there is an “intent to defraud” that includes an intent to “commit another crime or to aid or conceal” another crime.
